Terms of Service

1. Who We Are

Rate QS Ltd ("Rate QS", "we", "our" or "us") operates the web application that transforms construction pricing documents into abstracted, high‑level descriptors (the "Service").

2. Acceptance

By creating an account, uploading data, or otherwise using the Service, you ("you" or "User") agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the Service.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract.

4. Your Subscription & Payments

*Full feature and usage limits are displayed in‑app.
**“Fair‑use” means usage consistent with the stated purpose (see §6).

Payments are processed by Stripe. Unless cancelled, your subscription renews automatically each month. You may cancel anytime in the app; access continues until the paid‑through date.

Refunds: If you cancel within 30 days of starting a new subscription, we’ll refund the fees you’ve paid for that subscription period.

5. What We Do With Your Data

1. Processing Licence. You grant Rate QS a worldwide, non‑exclusive licence to host, copy, and process the files you upload solely to provide the Service.
2. Model Improvement. We may analyse data in anonymised and aggregated form to improve our models and publish overall statistics, but individual rates remain private.
3. Retention. Uploaded documents and derived data are retained indefinitely while your account is active. You may delete files or your account at any time; we will delete associated data promptly unless legal obligations require retention.
4. Exports. Before termination, you may export data using the in‑app export tools.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose;
• Upload content you lack the right to use;
• Reverse‑engineer or attempt to extract source code or data models;
• Overuse the Service beyond reasonable volumes for commercial quantity‑surveying work;
• Interfere with or bypass security features.

7. Intellectual Property

Your Content. You retain all rights in documents you upload.

Our IP. We own the Service, underlying models, analytics, and Rate QS trademarks. No licence is granted except as expressly stated.

8. Disclaimers

The Service provides AI‑generated classifications for informational purposes only. We do not warrant that outputs are error‑free, complete, or fit for any particular purpose. Use professional judgment before relying on them.

9. Limitation of Liability

To the maximum extent permitted by law, Rate QS’s total liability under these Terms is capped at the subscription fees you paid in the 12 months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold harmless Rate QS, its directors, and employees from any third‑party claims, damages, or costs (including reasonable legal fees) arising out of: (a) your Content; (b) your breach of these Terms; or (c) your misuse of the Service.

11. Suspension & Termination

We may suspend or terminate your account for non‑payment, abuse, overuse, or material breach of these Terms. Upon termination, your access ceases; remaining data can be exported via the app until that date.

12. Governing Law & Dispute Resolution

These Terms are governed by English law. Any dispute shall be resolved by binding arbitration seated in England under the rules of the Chartered Institute of Arbitrators. Judgment on the award may be entered in any competent court.

13. Changes to These Terms

We may modify these Terms with 14 days’ advance notice (email or in‑app banner). Continued use of the Service after the notice period constitutes acceptance.

14. Miscellaneous

• If any provision is held unenforceable, the remaining terms remain in effect.
• Neither party is liable for force‑majeure events.
• You may not assign your rights without our prior written consent; we may assign as part of a merger or sale.
